Terms & Conditions

By accessing or using any website, dashboard, panel, API, mobile app, or service branded or operated by Diginz (collectively, the “Services”), you agree to these Terms & Conditions (the “Terms”). If you do not agree, do not register, access, or use the Services. These Terms are designed for global use, including the United States, the European Union/EEA, the United Kingdom, Türkiye, and other regions. Local mandatory consumer, privacy, and e‑commerce laws will prevail where they provide stronger protection.

1) Definitions

“Diginz,” “we,” “us,” or “our” means the Diginz entity that provides the Services. (Insert legal entity details once finalized.)

“User,” “you,” or “your” means any person or entity that accesses or uses the Services, including Authorized Users of a business account.

“SMM Panel” means Diginz’s dashboard, APIs, and automations that facilitate ordering advertising, promotion, and optimization services for social networks and content platforms.

“Order” means a purchase you place for Services, including quantity, link/profile, targeting parameters, and other inputs.

2) Eligibility & Accounts

  • Age. You must be at least the age of majority in your jurisdiction (18+ in most countries). Minors may not use the Services.
  • Registration. Provide accurate information and keep it updated. Do not share credentials or create accounts on behalf of someone else without authorization.
  • Business Users. If you use the Services for a company, you represent you have authority to bind that company and that these Terms are accepted by it.
  • Account Security. You are responsible for all activity under your account. Use strong passwords and enable available security features. Promptly notify us of suspected compromise.

3) Acceptable Use & Prohibited Conduct

Use the Services only for lawful, ethical, and transparent marketing. Without limitation, you agree not to:

  • Violate any law or regulation (e.g., advertising, consumer protection, privacy, anti‑spam, export, election, or campaign laws).
  • Violate any third‑party platform terms (e.g., Meta, TikTok, YouTube, X/Twitter, Snapchat, LinkedIn). You must review and follow their policies.
  • Engage in inauthentic or deceptive practices: fake engagement, bots, click‑farms, sockpuppets, artificial amplification, review manipulation, coordinated inauthentic behavior, or misrepresentation of identity or sponsorship.
  • Run political, electoral, or issue‑advocacy operations; influence civic processes; or target protected classes in a discriminatory way.
  • Post or promote illegal, infringing, harassing, hateful, violent, sexually exploitative, or obscene content; or content violating others’ privacy or publicity rights.
  • Submit links/accounts that are newly created, unverified, or likely to be restricted, suspended, or removed by the platform.
  • Interfere with the Services’ operation; probe or circumvent security; scrape; reverse‑engineer; spam; or overload our systems.

We may reject, suspend, or cancel any Order or account that appears to violate these Terms or applicable law/platform rules. No refunds are due where suspension arises from your breach.

4) Services; Orders; Third‑Party Platforms

  • Descriptions & Estimates. Service descriptions (e.g., per‑1,000 units) are guidelines only. Delivery speed, retention, and results depend on third‑party platforms and market conditions; specific outcomes are not guaranteed.
  • Your Inputs. You are responsible for the accuracy of links, profiles, and parameters you submit. Do not place overlapping Orders for the same link while a prior Order is in progress.
  • Platform Risk. Social platforms regularly change features, limits, and enforcement. Accounts or posts may be throttled, de‑ranked, or removed by the platform; we are not liable for such actions.
  • Partial Fulfillment. If an Order is partially fulfilled due to service unavailability, we may credit the unserved portion to your account balance.
  • Non‑Affiliation. Diginz is not affiliated with or endorsed by any social network. All brand names belong to their respective owners.
  • Beta & API. Some features may be beta. If you use our API, you must follow our docs, rate limits, and security requirements. We may revoke keys at any time.

5) Pricing, Payment, Taxes & Chargebacks

  • Prices. Current prices appear in the dashboard or checkout and may change at any time before you place an Order.
  • Prepaid Balances. Top‑ups create a non‑transferable account balance usable only within Diginz. Balances are denominated in the currency shown.
  • Payment Processing. We may use third‑party payment processors. You authorize us to charge your selected method for Orders, fees, and applicable taxes.
  • Taxes. Prices may exclude VAT/GST/sales tax unless stated. You are responsible for taxes where applicable; we will collect and remit where legally required.
  • Chargebacks & Fraud. Filing unwarranted chargebacks or using stolen payment methods is prohibited and may result in account termination and information sharing with payment partners and authorities.

6) Cancellations, Refunds & EU/UK/EEA Withdrawal

  • Order Cancellation. After an Order is submitted, it may begin automatically and cannot always be canceled. Where cancellation is possible, we will confirm in writing.
  • Credits for Unfulfilled Portions. If an Order cannot be fully delivered for reasons not caused by your breach or platform takedowns, we may credit the undelivered portion to your Diginz balance.
  • No Refunds for Platform Actions. We are not responsible for decreases, removals, or restrictions imposed by social platforms; such events do not qualify for refunds.
  • EU/UK/EEA Consumers — Right of Withdrawal. For digital services, you have a 14‑day withdrawal right unless you consent to immediate performance and acknowledge loss of that right once performance begins. At checkout we will request that consent when applicable.
  • Statutory Rights. Nothing in these Terms limits mandatory consumer rights under applicable law.

7) Intellectual Property

  • Our Content. The Services, including software, UI, logos, and documentation, are owned by Diginz or its licensors and protected by IP laws. You receive a limited, revocable, non‑transferable license to use them as permitted by these Terms.
  • Your Content. You represent you own or have licenses to all content, links, and data you submit, and that your use does not infringe others’ rights. You grant us the rights necessary to provide the Services.
  • DMCA/Notice. If you believe content infringes your rights, send a detailed notice to the contact below. We will respond consistent with applicable law.

8) Privacy, Data, and Communications

  • Privacy Policy. Our processing of personal data is described in our Privacy Policy (incorporated by reference). For EEA/UK users we act as controller or processor depending on the feature; data subject rights are respected under GDPR/UK GDPR.
  • Security. We use reasonable organizational and technical safeguards; however, no system is 100% secure.
  • Communications. We may contact you about your account, Orders, and updates. Marketing emails/SMS are sent only with consent where required; you can opt out at any time.
  • Logs & Analytics. We may collect usage data (timestamps, pages, device info) to improve the Services. See our Privacy Policy for details.

9) Security, Anti‑Abuse & Sanctions Compliance

  • Responsible Disclosure. Report security vulnerabilities to us privately; do not exploit, test at scale, or access others’ data.
  • Anti‑Spam. Comply with CAN‑SPAM, ePrivacy, and similar laws when sending communications or creating campaigns.
  • Sanctions/Export. You represent you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive sanctions, and are not on any restricted‑party list. Do not use the Services for prohibited end‑uses.

10) Service Changes; Suspension & Termination

  • We may modify, suspend, or discontinue any feature to maintain service continuity or comply with law/platform rules. Material adverse changes will be communicated where required.
  • We may suspend or terminate accounts for violations or risk to the platform. Upon termination, your license ends and access ceases. Certain provisions survive (e.g., IP, liability limits, disputes).

11) Disclaimers & No Warranties

The Services are provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, and any implied warranties arising from course of dealing or usage. Third‑party platforms may change without notice; we do not control or guarantee their behavior.

12) Limitation of Liability

To the maximum extent permitted by law, Diginz and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost revenues; lost data; or business interruption, even if advised of the possibility. Our total aggregate liability for all claims relating to the Services in any 12‑month period will not exceed the amounts you paid to Diginz for the Services giving rise to the claim in that period.

Nothing excludes liability that cannot be excluded under applicable law (e.g., fraud, intentional misconduct, death or personal injury caused by negligence in jurisdictions where such limitation is not allowed). Consumer law rights remain unaffected.

13) Indemnification

You will defend, indemnify, and hold harmless Diginz and its affiliates from any claim, loss, liability, and expense (including reasonable attorneys’ fees) arising from your: (i) use of the Services; (ii) content or links you submit; (iii) violation of these Terms or law; or (iv) infringement of third‑party rights.

14) Governing Law & Dispute Resolution

  • EU/UK/EEA Consumers. If you are a consumer habitually resident in the EU/EEA/UK, your local mandatory law governs, and courts of your habitual residence will have jurisdiction. You may also access the EU ODR platform where applicable.
  • US & Rest of World (Business Users). For business users outside the EU/EEA/UK, these Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts rules. Any dispute will be resolved by binding arbitration in Delaware under AAA Commercial Rules, on an individual basis (no class actions). You may opt out of arbitration within 30 days of accepting these Terms by sending written notice to the contact below.

15) Miscellaneous

  • Updates. We may update these Terms from time to time. The “Last updated” date will change. For material changes, we will provide notice through the Services or by email where required. Continued use after changes means acceptance.
  • Severability. If any provision is invalid or unenforceable, the remainder remains in effect.
  • Assignment. You may not assign these Terms without our consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Entire Agreement. These Terms and referenced policies are the entire agreement between you and Diginz regarding the Services and supersede prior understandings.
  • No Waiver. Our failure to enforce a provision is not a waiver.
  • Language. The English version of these Terms controls.

Service‑Specific Rules (SMM Panel)

  • Do not place a second Order for the same link/profile until the first Order is fully completed to avoid conflicts, delays, or wasted spend.
  • Orders for unverified, newly created, or policy‑violating accounts/links are at your own risk and may be rejected without refund.
  • If we detect abuse (spam, harassment, illegal content, or platform‑rule violations), we may terminate your account and forfeit balances obtained or used in breach.
  • Where a service becomes unavailable due to platform changes, we may substitute a comparable service or issue a proportional credit for the undelivered portion.
